Transaction Details: 

Diversified Energy has announced its transformative $1.275 billion acquisition of Maverick Natural Resources, significantly enhancing its liquids-weighted portfolio and expanding its asset base in the Western Anadarko and Permian basins. 

The deal, funded through a mix of assumed debt, $207 million in cash, and equity valued at approximately $345 million, boosts Diversified's production to ~1.2 Bcfe/d while bringing a robust inventory of >900,000 net acres across multiple basins. 

CEO Rusty Hutson noted, “This acquisition expands our unique and highly focused energy production company with a complementary portfolio of attractive, high-quality assets.” The combination leverages synergies through shared infrastructure, strengthens Diversified’s financial position, and offers attractive free cash flow, margin improvement, and capital flexibility. EIG, the seller, will become a major shareholder with two board seats and ~20% ownership post-close
