Petroleum Development Corporation announced that PDC Mountaineer, LLC, the Company's 50/50 joint venture with Lime Rock Partners V, L.P. , has executed a definitive agreement to acquire the membership interests of Seneca-Upshur LLC for a purchase price of $152.5 million ($76.25 million net to PDC Energy). The effective date of the transaction is July 1, 2011 with closing currently scheduled for October 3, 2011, subject to a number of closing conditions. In addition, there will be certain post-closing adjustments through April 1, 2012.
