PetroFrontier Corp. has entered into an arm's length non-binding letter of intent with Kasten Energy Inc. effective May 17, 2016, to acquire certain resource assets of Kasten in the Cold Lake area of northeastern Alberta.

PetroFrontier will pay to Kasten an aggregate of approximately $17.49 million as consideration for the Assets as follows:

by the issuance of 70 million common shares of PetroFrontier at a deemed value of $0.157 per share;

by the payment of $3.5 million in cash at closing; and

by the issuance by PetroFrontier of a secured debenture in the amount of $3 million in favor of…
