Keane Group and CJ Energy Services have agreed to merge in a deal worth $2 billion.
C&J shareholders will receive 1.6149 shares of Keane common stock for each share of C&J common stock owned.
Cash dividend of $1.00 per share to C&J shareholders
Pro-forma ownership 50% Keane / 50% CJ sharesholders.
12 member board, 6 from Keane and 6 from C&J

- Robert Drummond (Keane) to serve as President & CEO
- Jan Kees Van Gaalen (C&J) to serve as EVP, CFO
- Greg Powell (Keane) to serve as EVP and CIO
The deal is expected close by 4Q19.
