Transaction Details: 

TXO Partners, said it it acquiring producing oil and gas assets in the Elm Coulee field of the Williston Basin (Montana & North Dakota) from White Rock Energy, LLC, a portfolio company of Quantum Capital Group.

 The transaction, valued at $350 million in cash (subject to adjustments), includes $70 million in deferred payments due one year after closing.

The acquisition was structured in partnership with North Hudson Resource Partners LP, whose affiliates will acquire a 30% non-operated interest, bringing the total transaction value to $475 million, effective May 1, 2025.

  • Reserves: ~25,000 Mboe of Proved Developed reserves (as of April 30, 2025; SEC pricing)
