Magnolia Oil & Gas has agreed to acquire substantially all of the South Texas Assets of Harvest Oil & Gas Corp. for $191 million in cash/stock (~$135 million in cash and 4.2 million newly issued shares of the Company’s Class A common stock valued at ~$56 million).

This deal was closed on September 7, 2018.

The assets are made up of property in Karnes County, TX as well as in Giddings Field (Eagle Ford and Austin Chalk potential).

The cash consideration will be funded using cash on the balance sheet and borrowings under the Company’s revolving credit facility.
